The Role :

We are seeking a Chief Compliance Officer to be based in San Juan, PR. We are entrepreneurial, fast- moving, and motivated by a desire to change the way that energy and electricity are delivered in Puerto Rico.

We are looking for a motivated, highly experienced individual with shared beliefs and passion to come and help drive the journey.

As the Chief Compliance Officer, you will be responsible for all legal compliance matters including the administration of the company��?s compliance program, supporting the commercial and operational teams to ensure compliance, managing outside compliance counsel, administering the Company��?s Operational Conflict of Interest (OCI) policy, and ensuring the Company remains in compliance with all applicable laws and regulations.

What you will do :

  • Develop and administer a comprehensive legal compliance program, ensuring continuous improvement of all compliance policies and programs.
  • Work with upper management to ensure legal and regulatory compliance across operations with respect to the operation and maintenance contract with PREPA (O+M Contract).
  • Administer the Operational Conflict of Interest policy that is part of the O+M Contract with PREPA and work with Procurement to ensure the OCI is followed in all procurement activities.
  • Administer a due diligence process for all potential third-party contractors and agents.
  • Review all third-party contracts to ensure the terms and conditions within the O+M Contract regarding the use of third parties and subcontractors are followed.
  • Ensure all requests for payment by Genera pursuant to the O+M Contract comply with the contractual provisions and relevant FAR and other governmental regulations.
  • Advise the company regarding compliance issues surrounding the heavily regulated Power Generation System.
  • Anticipate and mitigate potential compliance problems within the organization and develop strategies to avoid litigation and reduce potential areas of risk.
  • Establish and administer an appropriate reporting hotline to receive compliance or ethics reports from General employees, third party contractors, customers, or the general public.
  • Develop a regular compliance training program for Genera employees, ensuring the program meets the requirements of the O+M Contract.
  • Conduct or supervise all compliance audits or reviews required by the O+M Contract.
  • Liaise with compliance counterparts at PREPA and the Puerto Rico-Public Private Partnerships Authority to address any compliance issues arising under the O+M Contract.
  • Perform all other tasks as directed by the Genera General Counsel or Corporate Chief Compliance Officer.

What You Bring :

  • Firm foundational understanding of Puerto Rican legal system, with a focus on compliance and government contracting.
  • Industry experience : Energy / LNG / Gas / Trading.
  • Knowledge and understanding of the regulations, plans and policies of the regulatory bodies of Puerto Rico, including, but not limited to, the Financial Oversight Management Board, Puerto Ricoâ�?�?s Energy Bureau, the Puerto Rico Public-Private Partnerships Authority, the Integrated Resource Plan (IRP), Puerto Rico s public energy policy, Act 120-2018 (Puerto Rico Electric System Transformation Act), etc.
  • S. Federal Government Contracts experience and an understanding of the Federal Acquisition Regulations (FAR)
  • Heigh degree of professional ethics and integrity.
  • Strong educational background. Law degree from US or Puerto Rico law school.
  • Ability to work strategically and collaboratively across all departments and provide direction.
  • Excellent verbal and written communication skills, in both English and Spanish
  • 8+ years of related experience.
